BY CREATING AN ACCOUNT, COMPLETING THE SIGN-UP FORM, ENTERING A USER PROFILE SLUG, LOGGING IN, LINKING AN NFC DEVICE, OR PURSUING ANY PAID SUBSCRIPTION PLAN (INCLUDING FREE, STARTER, PRO, REALTOR, OR ENTERPRISE), YOU EXPLICITLY AGREE TO AND ARE IMMEDIATELY BOUND BY THIS ENTIRE CONTRACT. IF YOU DO NOT COVENANT TO THESE TERMS, YOU HAVE NO LEGAL AUTHORIZATION TO REGISTER OR ACCESS THE platform AND MUST CEASE SERVICE IMMEDIATELY.
1. Binding Agreement & Sign-Up Policy
This Terms of Service agreement (the "Agreement" or "Contract") constitutes a legally binding contractual undertaking between the user (referred to as "User", "You", or "Your") and the developer and platform owner, Saurabh Kumar Dey (referred to as "IdentiQ", "We", "Us", or "Our"), governing Your access to and utilization of the IdentiQ software-as-a-service web applications, landing pages, custom profile directories, lead management dashboards, and connected NFC routing interfaces located at https://identiq.in (the "Platform").
Immediate Binding on Action
Completion of the registration wizard, clicking the "Sign Up" or "Get Started" button, subscribing to any service package, importing bulk rosters, or configuring custom DNS records binds you immediately. If you register or purchase a subscription on behalf of a company, real estate brokerage, firm, or corporate enterprise, you represent and warrant that you hold full legal power and corporate authority to bind that entity to this Contract.
2. Description of Services
IdentiQ provisions a cloud-hosted digital profile generation, near-field communication (NFC) routing link manager, and integrated customer relationship management (CRM) dashboard. The primary modules include:
- Building responsive, premium digital business card profiles at custom slugs (e.g.,
/u/yournameor/c/orgslug/name). - Linkage of physical NFC microchips to dynamic endpoints.
- Real-time configuration of contact information, dynamic social links, custom colors, and downloadable virtual contact files (VCF).
- Lead capture form widgets generating automatic email notifications and CRM contact logs.
- Realtor-specific portals providing property showcase sliders, digital open house registration logbooks, and downloadable PDF market reports.
- Enterprise dashboard toolsets enabling bulk provisioning, organization styling constraints, SSO configuration, and active member limits.
3. Account Creation, Security & Registration
To leverage the core capabilities of the Platform, You must establish a user account. You covenant and agree to:
- Supply strictly accurate, truthful, current, and complete profile parameters.
- Refrain from selecting a public URL profile slug that violates trademark rights, impersonates third parties, or contains offensive language. We reserve the right to reclaim any slug at our discretion.
- Guard Your login tokens, email credentials, and passwords. Any actions occurring under your credentials are deemed yours.
- Proactively alert the security team of any unauthorized credentials access or system exploit at hello@saurabhdey.in.
4. Subscription Plans & Feature Limits
IdentiQ categorizes its offerings into specific tiers. By maintaining a plan, You agree to abide by the maximum resource constraints defined below:
Provides one (1) dynamic card profile linked to standard themes, standard system QR codes, and basic hit analytics. Limited to one (1) physical card linkage. Support is strictly limited.
Supports up to two (2) active profiles, customized colors, link priority ordering, and basic email lead notifications. Designed for individual professionals.
Unlocks up to five (5) active profile landing pages, custom QR code layout configurations, custom lead-capture forms, direct VCF download hooks, Apple Wallet pass generation, weekly digest reports, and priority email support.
Specifically provisions real estate dashboards. Includes property listing managers, digital open house check-in sign-up tables, automated buyer/seller input channels, MLS number integrations, custom domain mappings (e.g., cards.yourrealty.com), and Realtor-specific verification checks.
Designed for corporate team management. Includes centralized Organization dashboards, custom max membership thresholds (e.g., up to 500+ seats), enforced Single Sign-On (SSO) integrations, centralized organization billing, customized global templates, dedicated account managers, and SLA guarantees.
5. Realtor & Real Estate Specific Covenants
Users who subscribe to the Realtor, Realtor Pro, or Brokerage plans, or configure profiles containing real estate advertisements (collectively, "Real Estate Subscribers"), are subject to the following strict covenants:
- Licensing Accuracy: You warrant that all license numbers, designations, certifications, and brokerage affiliations published on Your dynamic landing pages are accurate, current, active, and compliant with Your local governing jurisdiction's real estate licensing laws.
- Fair Housing Compliance: You covenant to publish listings and materials in absolute compliance with the Federal Fair Housing Act, local human rights codes, and all regulations prohibiting housing discrimination.
- Accuracy of Listings: All property data, sales values, open house timetables, and PDF marketing reports uploaded or linked must represent genuine, active inventory. You assume sole liability for any claims of deceptive practices or misrepresentation of listings.
- Indemnification for Listings: You explicitly agree to indemnify and hold harmless Saurabh Kumar Dey and IdentiQ against any litigation, licensing board complaints, or monetary disputes stemming from MLS errors, zoning discrepancies, property pricing omissions, or false real estate advertisements.
6. Enterprise & Organization Workspaces
Enterprise and Organization dashboard administrators ("Workspace Admins") are bound to the following terms:
Member Provisioning: Workspace Admins are solely responsible for adding, managing, suspending, and removing team members within their custom dashboard controls. Member seating is capped by the specific limit set in your contract billing parameters.
SSO and Security: Enforcing Single Sign-On (SSO) bindings redirects authentication logic to Your identity provider. We are not liable for security failures, access lockouts, or data exposures stemming from misconfigured corporate identity brokers or domain failures.
Organization Content: We grant Workspace Admins the right to enforce brand standards and restrict custom fields for their sub-members. You accept full liability for any intellectual property violations, defamation, or regulatory non-compliance of the content uploaded by any member added to your corporate workspace.
7. Payments, Renewals & Refund Policy
The following billing policies apply to all paid subscriptions:
- Automatic Renewal: All paid packages are billed on an automatic billing schedule (monthly or annually) via Our integrated payment gateway. subscriptions renew automatically unless explicitly cancelled before the next billing date.
- Cancellation: You may cancel renewals at any time directly through the dashboard billing menu. Upon cancellation, Your access to advanced features persists until the expiration of the current paid cycle, after which your account reverts to the Free Plan.
- Strict No-Refund Policy: Because our software systems and databases allocate resources, create premium verified badge configurations, and assign dynamic routes instantly, all payments are strictly non-refundable. No partial refunds or credits will be issued for unused portions of any billing cycle.
- Price Adjustments: We reserve the right to modify subscription fees upon 30 days of written notice. Your continued utilization of the Platform after the change constitutes acceptance of the new billing scale.
8. CRM, Lead Capture & Data Privacy Regulations
The Platform features lead capture widgets that allow dynamic data intake from third parties tapping your card or viewing your landing pages.
GDPR & Data Controller Status
In terms of data protection statutes (including GDPR, CCPA, and regional Data Protection bills), **You (the User) act as the sole Data Controller** for all lead contact variables collected via Your profile. **IdentiQ acts strictly as a Data Processor**, hosting, formatting, and transmitting the records as instructed.
You warrant that you have implemented compliant privacy notifications, acquired necessary marketing consents, and will handle captured leads in compliance with all relevant privacy legislation. You agree to defend and hold us harmless against any civil complaints, data protection audits, or fines resulting from your mishandling of captured customer details.
9. Acceptable Use & Conduct Policy
You agree to use the Platform strictly for lawful business communication. You explicitly covenant NOT to engage in:
- Phishing, distributing links containing malware, promoting predatory financial schemes, or hosting defamatory content.
- Running scripts, automated scrapers, or bot nets to scrape profiles, harvest leads, or disrupt server response times.
- Reverse-engineering the frontend compiled code, hacking API endpoints, or attempting denial-of-service exploits.
- Violating copyright or trademark rights of third parties in avatars, logos, or cover photos.
Violation of any part of this Acceptable Use Policy will result in immediate profile locking, account termination, permanent blocklist logging, and potential reporting to law enforcement authorities.
10. Intellectual Property Rights
The Platform, including but not limited to the compiled Next.js source code, backend API services, PostgreSQL database configurations, graphical interface designs, CSS style systems, logo animations, and brand assets, is the exclusive property of Saurabh Kumar Dey and protected by copyright and international intellectual property treaties.
You retain ownership of the text, layout styles, and assets uploaded to Your profile. You grant us a non-exclusive, global, royalty-free, perpetual license to host, format, modify, search, cache, translate, and index your profile data strictly to deliver the dynamic services and landing pages requested.
11. NFC Physical Products & QR Disclaimers
Physical NFC cards, wristbands, or decals are provided strictly as-is:
Compatibility: Not all mobile phone models feature active, background NFC readers. We do not warrant that all receiver devices will scan or read the physical microchips. We provide standard QR codes as a secondary fallback.
Hardware Failure: We are not liable for physical wear and tear, demagnetization, impact breakage, or custom printer errors of hardware cards. In no event shall we be liable for lost opportunities, missed contacts, or business failures resulting from an unscannable card or physical tag malfunction.
12. Limitation of Liability & Warranties
THE PLATFORM IS DELIVERED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
We explicitly disclaim all statutory warranties, including merchantability, fitness for a specific professional use, database integrity, error-free operations, and service availability.
To the maximum scope allowed by civil law, Saurabh Kumar Dey, IdentiQ, and sub-developers shall not be held liable for any indirect, incidental, punitive, collateral, or consequential damages. This includes lost profits, commercial goodwill loss, data corruption, database downtime, DNS routing failure, Vercel edge deployment issues, or Supabase PostgreSQL service disruption.
OUR TOTAL CUMULATIVE LIABILITY UNDER ANY LEGAL THEORY ARISING OUT OF THIS AGREEMENT IS STRICTLY CAPPED AT THE LESSER OF FIFTEEN HUNDRED RUPEES (₹1,500) OR THE TOTAL FEES PAID BY YOU TO IDENTIQ IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to defend, indemnify, and hold harmless Saurabh Kumar Dey, IdentiQ, and sub-contractors from and against any claims, losses, liabilities, regulatory audits, damages, civil suits, and expenses (including legal attorney fees) arising from:
- Your violation of this Contract or Acceptable Use policy.
- Any intellectual property or trademark violation committed on Your profile.
- Real estate listing disputes, Fair Housing Act complaints, MLS regulatory breaches, or license classification issues.
- Violations of regional data protection laws (e.g. GDPR, CCPA) relating to lead data captured by Your custom forms.
- Security breaches, access lockdowns, or data losses arising from Organization workspace member modifications.
14. Governing Law & Jurisdictions
This Contract, along with any dispute, controversy, or litigation arising out of or related to the Platform, shall be governed by, and interpreted in compliance with, the laws of **India**, without reference to its conflict of law principles.
You explicitly submit to the exclusive personal jurisdiction and venue of the competent courts in **India** to adjudicate any claims or disputes arising under this Agreement.
